Job description
The Lesaka group spans various entities in South Africa, as well as other African jurisditions. The holding company is incorporated in Florida, USA with a primary listing of NASDAQ and a secondary listing of the JSE. The Company Secretarial function supports a complex, multi-entity governance environment with stringent regulatory and compliance requirements.
The primary objective of this role is to provide administrative, statutory and governance support to the Group Company Secretary and the broader Company Secretariat function. The role assists in ensuring that group entities comply with applicable statutory, regulatory and governance requirements, and supports the effective administration of board and committee processes. This is an administrative company secretarial role, positioned at Officer level because it requires practical experience, sound drafting ability, strong system exposure and the ability to work under pressure in a high-volume environment.
Key responsibilities
- Assist with the preparation and coordination of board and committee meetings, including compiling agendas and board packs, circulating meeting materials, and managing logistics.
- Maintain and update board and committee records, including minutes, resolutions, attendance registers, and action trackers.
- Support the preparation of draft minutes and ensure accurate recording, review and filing of meeting outcomes.
- Maintain statutory registers and company records for all group entities, including directors, shareholders and shareholding changes.
- Assist with the preparation and submission of CIPC filings and other regulatory submissions, including annual returns, director changes and related corporate actions.
- Maintain accurate and up-to-date entity records on company secretarial systems, including ProfSoft or equivalent systems.
- Coordinate the execution of resolutions and other governance documentation.
- Assist with the administration of shareholder meetings, including preparation of notices and supporting documentation.
- Ensure proper filing, storage and version control of governance and statutory documents.
- Track and follow up on board and committee action items and governance deadlines.
- Liaise with internal stakeholders, directors' offices, auditors and external service providers on administrative and coordination matters.
- Support clean-up of legacy records, historical company secretarial information, statutory registers and governance documentation.
- Provide general administrative and secretarial support to the Group Company Secretary and Company Secretariat function
Systems Experience
The candidate must have practical experience using, or meaningful exposure to, the following systems and portals:
- ProfSoft
- Diligent Boards
- SharePoint
- Microsoft 365
- DocuSign
- CIPC eServices
- Companies Registry portals (regional jurisdictions)
Qualifications and Experience
- A relevant diploma, certificate or degree in Law, Governance, Business Administration, Commerce or a related field.
- 1–4 years' experience in a company secretarial, legal, governance, compliance or administrative support role. Candidates with stronger practical company secretarial administration experience may also be considered.
- Practical exposure to company secretarial practices, statutory filings and corporate governance administration is required.
- Experience working with CIPC processes and filings is required.
- Hands-on experience working with company secretarial systems, preferably ProfSoft, is required.
- Experience with board portal systems, preferably Diligent Boards, is required.
- Experience drafting meeting minutes, resolutions and formal governance documentation is required.
- Experience working with legacy records, high volumes of documentation or record clean-up projects will be advantageous.

- Excellent command of English, including professional writing, grammar, spelling and proofreading.
- Strong typing skills and the ability to prepare accurate documents under time pressure.
