Job description

Purpose of the Assignment:

We are seeking highly experienced Corporate Governance Specialists to form part of a professional consulting team responsible for the planning, development, delivery and facilitation of a structured Board Induction Programme for a public-sector entity.

The successful candidates will provide specialist guidance and facilitation on corporate governance, fiduciary responsibilities, ethical leadership, regulatory compliance, financial oversight, risk management and governance requirements applicable to public entities.

Minimum Experience Requirements:

Applicants must have:

  • A minimum of five (5) years' experience in advising, planning, designing, delivering and facilitating:
  • Corporate governance programmes;
  • Corporate governance and ethics training;
  • Board induction programmes; and/or
  • Similar Board or executive governance interventions.
  • At least two (2) years of the required five years' experience must relate to corporate governance and ethics training or advisory services provided to Schedule 2 Public Entities that have been:
  • Placed under or are exiting business rescue; and/or
  • Undergoing business restructuring; and/or
  • Undergoing organisational or financial turnaround.

Qualifications:

Applicants must possess at least one relevant qualification/designation, which may include:

Corporate Governance

  • Occupational Certificate: Governance Practitioner – NQF Level 7;
  • Chartered Secretary;
  • Chartered Governance Professional (CGP);
  • Postgraduate Diploma in Corporate Governance;
  • Chartered Director; or
  • Ethics Officer Certification.

Legal

  • LLB;
  • BA Law; or
  • BCom Law.

Finance

  • BCom;
  • Relevant Postgraduate Diploma;
  • Honours Degree; or
  • Master's Degree in a relevant finance-related discipline.

Audit

  • BCom Honours in Internal Auditing;
  • Certified Internal Auditor (CIA);
  • BCom Accounting; or
  • Postgraduate Diploma in Accounting / Honours.

Professional Membership:

  • Chartered Governance Institute of Southern Africa (CGISA);
  • Institute of Directors in South Africa (IoDSA);
  • The Ethics Institute;
  • Legal Practice Council (LPC);
  • Law Society of South Africa (LSSA);
  • Corporate Counsel Association of South Africa (CCASA);
  • South African Institute of Professional Accountants (SAIPA);
  • Chartered Institute for Business Accountants (CIBA);
  • Chartered Institute of Government Finance, Audit and Risk Officers (CIGFARO);
  • Institute of Internal Auditors South Africa (IIASA);
  • Independent Regulatory Board for Auditors (IRBA);
  • South African Institute of Chartered Accountants (SAICA); or
  • South African Institute of Government Auditors (SAIGA).

Required Knowledge:

  • King V Code on Corporate Governance, including the King IV principles underpinning King V;
  • Companies Act, including directors' fiduciary responsibilities and business rescue provisions;
  • Public Finance Management Act (PFMA);
  • Treasury Regulations;
  • Protocol on Corporate Governance in the Public Sector;
  • Governance requirements applicable to Schedule 2 Public Entities;
  • Board and Board Committee governance;
  • Risk management and regulatory compliance;
  • Supply chain management and procurement governance;
  • Ethical leadership and corporate ethics;
  • Prevention and combating of corruption;
  • Fraud prevention and consequence management;
  • Conflicts of interest;
  • Whistle-blowing and protected disclosures;
  • Financial oversight responsibilities of Boards; and
  • Governance considerations applicable to business rescue, restructuring and turnaround environments.

Key Responsibilities:

  • Participate in an induction needs assessment;
  • Advise on the design and structure of the Board Induction Programme;
  • Develop and/or review Board induction content;
  • Prepare professional presentation slides, briefing materials and training packs;
  • Facilitate Board induction sessions;
  • Facilitate corporate governance and ethical conduct sessions;
  • Provide guidance on fiduciary duties and responsibilities of Board members;
  • Facilitate discussions on PFMA, Companies Act and public-sector governance requirements;
  • Address governance considerations relating to business rescue, restructuring and organisational turnaround;
  • Facilitate risk, compliance and procurement governance discussions;
  • Provide guidance regarding Board committees, delegation of authority and separation of powers;
  • Facilitate committee-specific governance sessions;
  • Conduct knowledge-check activities where required; and
  • Contribute to post-induction evaluation and close-out reporting.

Pay: R10 000,00 - R30 000,00 per month
