Job description

WHAT WE NEED

We are seeking a highly skilled and passionate Governance, Risk and Compliance professional to join our growing team. This pivotal role manages all corporate governance, board secretariat duties, regulatory compliance, and the full contract lifecycle, and is responsible for ensuring that PPO Serve's core purpose, operations, and reputation are always protected. The compliance function must be visible, trusted, and respected. The role ensures the company operates legally, follows internal rules, and maintains strong board relations, while also being responsible for contract management across the business.

WHAT WE NEED YOU TO DO:

1. Governance & Secretariat

  • Board Support: Organise board and committee meetings.
  • Agendas & Minutes: Draft meeting agendas and take official minutes.
  • Statutory Filings: Maintain company registers and submit legal filings.
  • Advice: Guide directors on their legal duties and corporate governance.

2. Risk and Regulatory Compliance

  • Advise the business on suitable control frameworks to implement regulatory and best-practice obligations.
  • Design, build and implement a compliance risk management programme for the company.
  • Provide guidance to senior management to ensure business objectives are aligned with the regulatory framework and exposure profile of the company.
  • Understand and analyse the strategic impact of regulatory requirements on the company and make appropriate recommendations to ensure compliance.
  • Monitoring: Track new laws and regulations affecting the business.
  • Policies: Draft, update, implement, monitor and enforce internal company policies and regulatory policies, in compliance with regulatory requirements and best practice.
  • Risk Assessments: Identify compliance risks and create mitigation plans.
  • Monitor and enforce effective control, governance, and compliance standards.
  • Training: Prepare a regulatory training calendar and train employees on ethics, data privacy, and other applicable rules.
  • Champion an ethical work environment by driving initiatives that promote transparency, accountability, and honest communication at all levels.
  • Identify and manage applicable regulatory changes, evaluate their impact on the company, and communicate appropriately with stakeholders, including senior management and the Board of Directors.
  • Prepare and manage departmental reports and budgets.

3. Contract Management

  • Review, draft, negotiate and administer all contracts (including standard commercial agreements) in accordance with company requirements and organisational policies.
  • Manage the full lifecycle of contracts, including execution, amendments and terminations.
  • Maintain a central, organised repository/database of all active contracts, with accurate records and reporting.
  • Track contract renewal dates, expirations and obligations.
  • Identify, assess and mitigate contractual and commercial risks.
  • Liaise with external law firms on complex legal disputes.

QUALIFICATIONS

  • Bachelor's degree in Law, or a related field.
  • ICSA / Chartered Governance Institute qualification highly preferred.
  • Minimum of 5 years' experience in a legal, compliance, or company secretarial role, including overseeing the drafting and implementation of compliance frameworks, processes and operating models, and contract management

ADVANTAGEOUS

  • Experience with the implementation of ISO/ GACP frameworks.
  • Experience in the healthcare industry.

SKILLS AND ATTRIBUTES

  • Excellent written communication, close attention to detail.
  • Good interpretational skills and understanding of what is required to meet the intent of regulatory requirements, considering the changing compliance landscape from rules-based to outcomes-based.
  • Demonstrates high integrity, discretion and independence.
