Job description

The Legal Manager: Corporate is responsible for leading and managing all corporate legal matters across the Red Rocket Group, including mergers and acquisitions, corporate finance transactions, sales and acquisitions, project acquisitions and disposals, trust administration, corporate governance, commercial contracting, and legal compliance.

The role provides specialist legal and commercial leadership to the Senior Management Team and business units by identifying, assessing and mitigating legal risks, structuring and negotiating complex transactions, ensuring compliance with applicable legal and regulatory requirements, and safeguarding the interests of the Group in strategic business initiatives. The incumbent exercises significant independent judgement in interpreting legal, regulatory and commercial requirements and is accountable for the legal integrity, governance and execution of corporate transactions and related business activities.

1. Corporate Mergers & Acquisitions and Strategic Transactions

  • Lead and manage the legal aspects of mergers, acquisitions, disposals, restructures, joint ventures and other strategically significant corporate transactions.
  • Provide legal and commercial support to the Senior Management Team in evaluating, structuring and implementing corporate transactions.
  • Draft, negotiate and advise on corporate transactions agreements and documents.
  • Lead legal workstreams during transaction execution and coordinate the legal contributions of internal and external stakeholders.
  • Oversee and manage legal due diligence processes, including identifying legal, regulatory, contractual and compliance risks and recommending risk mitigation measures.
  • Prepare and present legal risk assessments and transaction recommendations to Senior Management and governance structures.

2. Project Acquisitions, Disposals and Investments

  • Lead legal support for the acquisition, disposal and restructuring of project companies and energy assets.
  • Prepare, negotiate and manage Share Purchase Agreements, Subscription Agreements, Joint Development Agreements, Shareholders' Agreements and other transaction-related documents.
  • Coordinate corporate and governance components of project due diligence exercises and ensure legal risks are appropriately identified and managed.
  • Support business development in achieving commercial objectives while protecting the Group's legal position.
  • Manage and direct external legal advisers and specialist consultants engaged on project transactions.

3. Corporate Finance and Investment Transactions

  • Support and advise the Corporate Investment Finance Director and team on corporate funding, equity investments, refinancing transactions and other strategic financing arrangements.
  • Review, negotiate and advise on financing, investment and security documentation associated with corporate transactions.
  • Identify legal and commercial risks arising from proposed financing structures and recommend appropriate mitigation strategies.
  • Coordinate legal workstreams associated with transaction execution and closing requirements.

4. Sales and Aggregation

  • Accountable for ensuring that all sales, aggregation and energy trading activities are supported by legally robust, commercially effective and compliant contractual arrangements, while proactively managing legal risk and enabling the achievement of the company's commercial objectives.
  • Act as the primary legal advisor to the Sales and Trading teams.
  • Provide commercially focused and pragmatic legal advice to support revenue generation and business growth.
  • Advise Business Development teams on legal risks associated with new products, transactions, business models and strategic initiatives.
  • Provide legal input into pricing structures, commercial arrangements and customer negotiations.
  • Support the development of innovative energy aggregation and trading solutions within applicable legal and regulatory frameworks.
  • Monitor and advise on legislation, regulations, licence conditions and market rules relevant to: Electricity trading; Energy aggregation; Virtual wheeling; Energy markets; Grid-related commercial arrangements
  • Interpret regulatory developments and communicate potential impacts and mitigation measures to stakeholders.

5. Corporate Governance and Compliance

  • Manage and oversee the Group Company Secretary function to ensure compliance with applicable corporate, statutory and regulatory requirements.
  • Ensure the effective implementation of governance frameworks, policies, delegations of authority and Board-approved governance practices across the Group.
  • Provide legal guidance to Directors, executives and management on governance-related matters and fiduciary obligations.
  • Oversee the preparation and implementation of corporate approvals, resolutions and governance documentation.
  • Support Board, Committee and Shareholder governance processes where required.
  • Monitor changes in legislation, regulatory requirements and governance best practice and drive the implementation of appropriate compliance measures.
  • Lead investigations and remediation initiatives arising from corporate governance or compliance-related issues.

6. Trust and Special Purpose Vehicle Management

  • Manage the legal and governance administration of the Batho Opportunity Trust and any other trust, employee ownership vehicle or special purpose investment structure established by the Group.
  • Ensure ongoing compliance with trust deeds, fiduciary obligations, governance requirements and applicable legislation.
  • Advise trustees, management and stakeholders on governance, compliance and legal obligations relating to trust structures.

7. Commercial Contracting and Business Support

  • Lead the drafting, review, negotiation and interpretation of commercial and operational agreements across the Group.
  • Provide legal advice on complex commercial arrangements, strategic partnerships and new business opportunities.
  • Oversight of the drafting and negotiating of Service Level Agreements, Terms and Conditions, Non-Disclosure Agreements, Memoranda of Understanding and other commercial contracts.
  • Oversight of the development and maintenance of standard form agreements, legal templates and contracting frameworks to improve efficiency and risk management.
  • Advise business units on contractual rights, obligations, dispute avoidance strategies and risk allocation mechanisms.
  • Ensure contractual arrangements adequately protect the Group's commercial, operational and strategic interests.

8. Legal Risk Management

  • Identify, assess and manage legal, regulatory and contractual risks across all corporate activities.
  • Develop practical legal solutions that enable business objectives while maintaining appropriate risk controls.
  • Escalate material legal risks and provide recommendations to senior management and relevant governance bodies.
  • Support the management of disputes, litigation, claims and contentious matters arising from corporate transactions and commercial agreements.

9. Stakeholder and Advisor Management

  • Act as a key legal advisor to Senior Management Team.
  • Build and maintain effective relationships with external legal counsel, regulators, trustees, counterparties, investors, financiers and other key stakeholders.
  • Manage external legal service providers to ensure cost-effective delivery of legal services and high-quality outputs.
  • Coordinate internal and external legal resources on complex and multi-jurisdictional transactions.
