Discover the Role The Senior Deputy Company Secretary is responsible for managing a portfolio of structured finance and corporate entities, ensuring high standards of corporate governance, statutory compliance, and company secretarial administration. This role acts as a trusted advisor to clients, directors, and internal stakeholders, providing proactive support across board governance, regulatory filings, entity management, and client servicing activities.
Key Responsibilities
Client & Stakeholder Management
- Serve as the primary point of contact for allocated structured finance and corporate clients.
- Build and maintain strong relationships with clients, directors, officers, and external stakeholders.
- Respond to client queries and provide timely company secretarial and governance support.
- Coordinate communication, meetings, and document execution with relevant parties.
Company Secretarial & Governance
- Manage board, committee, shareholder, and trustee meeting processes, including agendas, board packs, resolutions, and minutes.
- Ensure client entities remain compliant with applicable legislation, regulatory requirements, and corporate governance standards.
- Maintain statutory records, registers, and corporate documentation.
- Prepare and manage regulatory filings, including annual returns, beneficial ownership filings, and company amendments.
- Support corporate transactions, restructurings, and governance projects as required.
Structured Finance Administration
- Provide company secretarial support to structured finance vehicles and related entities.
- Coordinate transaction-related documentation and governance approvals.
- Maintain accurate records of client transactions and corporate actions.
- Work closely with clients, legal advisors, directors, and internal teams to ensure efficient execution of deliverables.
Compliance & Risk Management
- Support KYC, AML/FICA, and ongoing compliance requirements for client entities.
- Monitor legislative and regulatory developments impacting clients.
- Conduct internal file reviews and governance health checks to ensure compliance and best practice standards.
- Identify risks, service issues, and process improvement opportunities.
Operational Excellence
- Manage multiple client deliverables and ensure deadlines are achieved.
- Maintain accurate records across company systems and databases.
- Assist with onboarding new clients and entities.
- Contribute to process improvements, reporting requirements, and special projects.
Key Requirements
Experience
- Minimum 4-6+ years' experience in company secretarial, corporate governance, compliance, or corporate administration roles.
- Experience supporting structured finance, special purpose vehicles (SPVs), securitisation vehicles, funds, or complex corporate structures is highly preferred.
- Proven experience managing client relationships and delivering company secretarial services to institutional or corporate clients.
Qualifications
- Degree, diploma, or professional qualification in Law, Governance, Compliance, Corporate Secretarial Practice, or a related field.
- Relevant professional memberships or governance qualifications will be advantageous.
Technical Knowledge
- Strong understanding of corporate governance principles and company secretarial practices.
- Knowledge of applicable corporate legislation, compliance, beneficial ownership requirements, and regulatory filing obligations.
- Experience preparing board packs, minutes, resolutions, and statutory records.
- Proficiency in Microsoft Office applications.
